Articles of Incorporation of Southwest Iowa Mediation Center

TO THE SECRETARY OF STATE
OF THE STATE OF IOWA:

The undersigned, acting as incorporator of a corporation under the^Revised Iowa Nonprofit Corporation Act under Chapter 504, Code of Iowa (2005) adopt the following Articles of Incorporation for such corporation:

ARTICLE I - NAME.

The name of this corporation is Southwest Iowa Mediation Center.

ARTICLE II - POWERS AND PURPOSES.

The corporation shall have the power to engage in and to do any lawful acts concerning any and all lawful purposes for which corporation may be organized under this Act. The corporation is organized to provide mandatory mediation in child custody cases, to mediate resolutions for other disputes suitable for such processes, and to bring mediation to the attention of the judiciary, the practicing bar, and the public both through the practice of dispute resolution and through mediation education.

ARTICLE III- REGISTERED OFFICE AND AGENT.

The address of the initial registered office of the corporation is 233 Pearl Street, Council Bluffs, Iowa, located in Pottawattamie County, Iowa, and the name of its initial registered agent is John C. Rasmussen at such address.

ARTICLE IV- MEMBERS.

The corporation shall have no members unless members are permitted in accordance with the bylaws of the corporation.

ARTICLE V - DIRECTORS.

The number of directors constituting the initial Board of Directors of the corporation are seven (7) and the names and addresses of the initial Directors are:

Any director may be removed from office in accordance with the procedure set forth in the bylaws of the corporation.

ARTICLE VI - INCORPORATOR.

The name and address of the incorporator is: Jon E. Heisterkamp, Peters Law Firm, P.C., 233 Pearl Street, P.O. Box 1078, Council Bluffs, Iowa 51502

ARTICLE VII - EXISTENCE.

The date on which the corporate existence shall begin shall be the date upon which the Secretary of State receives these Articles of Incorporation.

ARTICLE VIII - LEGISLATIVE OR POLITICAL ACTIVITIES.

No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation and the corporation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

ARTICLE IX - GENERAL POWERS.

This corporation is empowered to do and perform all acts which corporations are empowered to do under Chapter 504, Code of Iowa (2005). The corporation is not organized for profit and no part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, if any, directors, officers, or other private persons except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered. Notwithstanding any other provision of these Articles, the corporation shall not carry on any activities not permitted to be carried on by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, or by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of
1986,as amended.

ARTICLE X - DISSOLUTION.

This corporation may be dissolved pursuant to the laws of the State of Iowa, Chapter 504, Code of Iowa (2005), or as such law may be amended in the future. Upon such dissolution of the corporation, the Board of Directors shall, after paying and making provisions for the payment of all of the liabilities of this corporation, dispose of all the assets of the corporation exclusively for the purposes of this corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable and educational purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c)(3) of the Internal Revenue Code of 1986, as amended, as the Board of Directors shall determine. Any of such assets not so disposed of shall be disposed of by the District Court of Iowa, in and for the county in which the principal office of this corporation is then located, exclusively for such purposes or to such organization or organizations as such Court shall determine, which are organized and operated
exclusively for such purposes. This Article shall apply to dissolution or liquidation of this corporation, whether voluntary or involuntary.
